These Terms and Conditions govern your use of the Tesco Gemini Platform and your relationship with Tesco Stores Limited (Tesco, we or us). By using this site, you agree to be legally bound by them. References to "you" and "your" are to you as an individual. As you are using the Tesco Gemini Platform in the course of your business, you are also agreeing to these Terms and Conditions on behalf of that business and references to "you" and "your" also include your business. 2. Other applicable terms

These Terms and Conditions refer to our Privacy and Cookies Policy which sets out the terms on which we process any personal data we collect from you, or that you provide to us, and set out information about the cookies on our Website. 3. Use of the Tesco Gemini Platform

4. Amendments

We may update these Terms and Conditions from time to time for legal or regulatory reasons or to allow the proper operation of the Tesco Gemini Platform. You should periodically review them for changes, although where possible we will try to bring any changes to your attention by putting a notice on the Tesco Gemini Platform. If you continue to use the Tesco Gemini Platform after the date on which any changes come into effect, your use of the Tesco Gemini Platform indicates your agreement to be bound by the new Terms and Conditions.

5. Password and security

Each ID is for a single user only. You are responsible for all activities that occur using your ID and for preventing unauthorised use of it. If you know or suspect that someone else knows your password you should notify us immediately by raising a zendesk ticket with the following information.

The content of the Tesco Gemini Platform is protected by copyright, trademarks, database rights and other intellectual property rights (the "Intellectual Property Rights"). The Intellectual Property Rights in all material on the Tesco Gemini Platform are owned by Tesco Stores Limited or its licensors. You may:

  2. store such content in electronic form on disk as necessary to display it on a computer screen, (but not any server or other storage device connected to a network); or

No licence is granted to you in these Terms and Conditions to use any trade mark of the Tesco Gemini Platform or its affiliated companies including, without limitation, the trade mark TESCO.

7. Your use of the Tesco Gemini Platform

You may not use the Tesco Gemini Platform for any of the following purposes:

  • disseminating any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material;
  • transmitting material that encourages conduct that constitutes a criminal offence, results in civil liability or otherwise breaches any relevant laws, regulations or code of practice;
  • gaining unauthorised access to other computer systems or confidential material;
  • interfering with any other person's use of the Tesco Gemini Platform;
  • breaching any laws concerning the use of public telecommunications networks;
  • interfering or disrupting networks or web sites connected to the Tesco Gemini Platform; and
  • making, transmitting or storing electronic copies of materials protected by copyright without the permission of the owner.

You will be responsible for our losses and costs resulting from your breach of this section 7.

8. Your information

All participants in the Tesco Gemini Platform must be resident in the UK and aged 18 years or over.

9. Availability of the Tesco Gemini Platform

Although the Tesco Gemini Platform aims to offer you the best service possible, Tesco makes no promise that the services on the Tesco Gemini Platform will meet your requirements. We cannot guarantee that the service will be fault-free. If a fault occurs in the service you should report it by raising a zendesk ticket with the following information.

Your access to the Tesco Gemini Platform may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. 10. Our right to suspend or stop your use

Tesco may suspend or cancel your use of the Tesco Gemini Platform immediately at our reasonable discretion or if you breach any of your obligations under these Terms and Conditions.

The suspension or cancellation of your use of the Tesco Gemini Platform shall not affect either party's statutory rights or liabilities.

Paragraphs 4, 5 and 8 of these Terms and Conditions shall survive cancellation.

11. Our liability

You understand and agree that Tesco does not guarantee the accuracy or completeness of any information provided in connection with the Tesco Gemini Platform. Tesco is not responsible for any errors or omissions or for the results obtained from the use of such information. Tesco gives no warranty as to the accuracy or completeness of any such information, including information made available by Tesco or our representatives.

Although the Tesco Gemini Platform will implement reasonable security procedures to ensure that no unauthorised parties gain access to the materials, because of the inherently insecure nature of the internet, the Tesco Gemini Platform does not give any other warranty in relation to this.

Because the Tesco Gemini Platform is provided to you free of charge, and for information and guidance purposes only, this is our entire liability to you under these Terms and Conditions. The Tesco Gemini Platform is provided "as is", without any conditions, warranties or other terms of any kind.

We exclude all liability and responsibility for any loss or damage (including without limitation any direct or indirect loss, lost data, lost profits or loss or damages arising from or connected in any way to business interruption) that may result to you or a third party in connection with the Tesco Gemini Platform in any way.

No advice or information whether oral or written obtained by you from Tesco or within the Tesco Gemini Platform shall create any warranty not expressly made in these Terms and Conditions or imposed by law.

This paragraph 11 shall not limit or affect our liability for fraud or if something we do negligently causes death or personal injury or for anything which cannot be excluded or limited under applicable law.

You understand and agree that Tesco does not guarantee the accuracy or completeness of any information in or provided in connection with the Tesco Gemini Platform. Tesco is not responsible for any errors or omissions or for the results obtained from the use of such information.

You may contact or be contacted by other members of the Tesco Gemini Platform. Any communication conducted outside of the Tesco Gemini Platform website or other specific activities conducted on behalf of the Tesco Gemini Platform are at your own discretion and are not sanctioned by Tesco nor are they necessary to participate fully in the Tesco Gemini Platform. Tesco shall not be liable for any outcomes of such communication.

12. Applicable Law

These Terms and Conditions shall be governed and construed in accordance with the laws of England and Wales. The English Courts will have exclusive jurisdiction to determine any disputes which may arise out of, under or in connection with these Terms and Conditions.

13. Miscellaneous

Tesco can assign its rights and/or obligations under these Terms and Conditions to any third party. You may not transfer any of your rights and/or obligations under these Terms and Conditions. Any rights not expressly granted in these Terms and Conditions are reserved.

If you breach these Terms and Conditions and we choose to ignore this, we will still be entitled to use its rights and remedies at a later date or in any other situation where you breach the Terms and Conditions.

Tesco shall not be responsible for any breach of these Terms and Conditions caused by circumstances beyond its reasonable control.
